These Terms & Conditions (“Terms”) govern the provision of services by VPSYTEK LTD (“we”, “us”, “our”) to you (“Client”, “you”). By engaging our services, signing a proposal, or making payment, you agree to these Terms.

Who we are

VPSYTEK LTD is a digital marketing and IT services company providing services including but not limited to:

  • Website design & development

  • SEO & content strategy

  • Social media marketing & paid ads

  • Email marketing & automation

  • eBay & Amazon marketplace management

  • Branding & identity

  • B2B operational and support services

2. Scope of Services

2.1 Services will be provided as outlined in:

  • A written proposal

  • Quotation

  • Email confirmation

  • Or signed agreement

2.2 Any work not explicitly listed is out of scope and may require additional fees.

2.3 VPSYTEK reserves the right to adjust execution methods where required to achieve agreed objectives.

3. Client Responsibilities

You agree to:

  • Provide accurate and complete information

  • Supply required content, assets, and access on time

  • Review and approve work within reasonable timeframes

  • Ensure all materials you provide are legally owned or licensed

Delays caused by the Client may impact timelines and delivery dates.

4. Fees & Payment

4.1 All fees are agreed in advance and stated in GBP (£) unless otherwise specified.

4.2 Payment terms:

  • Upfront, milestone-based, or monthly retainer (as agreed)

  • Invoices are payable within 7–14 days unless stated otherwise

4.3 Late payments:

  • May result in work being paused

  • May incur late fees

  • Do not void payment obligations

4.4 All fees paid are non-refundable once work has commenced.

5. No Guaranteed Results

5.1 VPSYTEK does not guarantee:

  • Search engine rankings

  • Ad performance

  • Revenue, sales, or leads

5.2 Digital marketing performance depends on multiple external factors including:

  • Market conditions

  • Platform algorithms

  • Client industry and competition

  • Budget and timelines

We commit to best practices, transparency, and professional execution.

6. Intellectual Property

6.1 Upon full payment:

  • Final deliverables become the Client’s property

  • VPSYTEK retains the right to showcase work in portfolios and case studies

6.2 Drafts, concepts, and unused materials remain VPSYTEK’s property unless otherwise agreed.

6.3 VPSYTEK retains ownership of internal frameworks, processes, and methodologies.

7. Website & Technical Services

7.1 VPSYTEK is not responsible for:

  • Hosting outages

  • Third-party plugin or platform failures

  • Security breaches caused by outdated software or external access

7.2 Ongoing maintenance, updates, and security are not included unless agreed in writing.

8. Marketing Platforms & Third-Party Tools

8.1 VPSYTEK may use third-party tools and platforms including but not limited to:

  • Google

  • Meta (Facebook / Instagram)

  • Email platforms

  • Marketplaces (Amazon, eBay)

8.2 VPSYTEK is not responsible for:

  • Platform policy changes

  • Account suspensions

  • Algorithm updates

  • Increased advertising costs

9. Confidentiality

Both parties agree to keep confidential:

  • Business information

  • Login credentials

  • Strategies and data

This obligation continues after termination.

10. Termination

10.1 Either party may terminate services with written notice as per the agreed contract or retainer terms.

10.2 Upon termination:

  • All outstanding invoices become immediately payable

  • VPSYTEK will hand over completed work only after payment clearance

11. Limitation of Liability

To the maximum extent permitted by law:

  • VPSYTEK shall not be liable for indirect, incidental, or consequential losses

  • Total liability shall not exceed the fees paid for services in the previous 3 months

12. Force Majeure

VPSYTEK is not liable for delays or failures caused by events beyond reasonable control, including but not limited to:

  • Platform outages

  • Legal or regulatory changes

  • Internet failures

  • Natural disasters

13. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Amendments

VPSYTEK reserves the right to update these Terms at any time. The latest version will always apply to ongoing services
